5. Payment Terms

• For many projects, a deposit or advance payment may be required before work begins.
• Remaining balances must be paid as agreed in the invoice or contract.
• Late payments may result in delays, suspension of service, or additional charges where legally applicable.
• All payments made are non-refundable unless otherwise agreed in writing.

6. Client Responsibilities

To allow ITZ to provide services effectively, clients agree to:

• Provide accurate information, content, and requirements.
• Respond to requests, approvals, and clarifications in a timely manner.
• Provide access to systems, hosting, accounts, or infrastructure when needed.
• Ensure they have the legal rights to use all text, images, videos, logos, and materials provided to us.

ITZ is not responsible for delays caused by lack of client cooperation, delayed approvals, or incomplete information.

7. Intellectual Property

Unless otherwise agreed in writing:

• All content, designs, graphics, code, strategies, and materials created by ITZ remain the property of ITZ until full payment is received.
• After full payment, the client may receive the agreed usage rights for the final deliverables.
• ITZ retains the right to display completed work in its portfolio unless confidentiality is agreed in writing.

Third-party tools, plugins, themes, stock assets, and licensed software remain subject to the terms of their respective owners.

8. Website Development and Digital Services

For website, software, SEO, and digital marketing services:

• Results may vary depending on market competition, platform rules, budgets, and other external factors.
• ITZ does not guarantee specific search engine rankings, traffic volumes, or sales results unless explicitly stated in writing.
• SEO and marketing performance depend on many factors outside our control, including algorithm changes and competitor activity.
• Clients are responsible for reviewing and approving deliverables before launch or publishing.

9. Third-Party Platforms and Tools

Some services may involve third-party platforms or software such as:

• Google
• Meta / Facebook / Instagram
• Microsoft
• WordPress
• Hosting providers
• Payment gateways
• CRM or ERP tools

ITZ is not responsible for service interruptions, policy changes, suspensions, pricing changes, or technical issues caused by third-party providers.

10. Limitation of Liability

To the maximum extent permitted by law, ITZ shall not be liable for:

• Indirect or consequential loss
• Loss of revenue, profit, or business opportunity
• Data loss caused by third-party systems, hosting issues, hacking, or misuse
• Service interruptions caused by internet, hosting, software, or power failures
• Delays resulting from factors outside our reasonable control

Our total liability, where legally applicable, shall not exceed the amount paid by the client for the specific service in question.

11. Warranties and Service Availability

We aim to provide reliable and professional services, but we do not guarantee that:

• The website will always be available without interruption
• All errors will be completely eliminated
• All systems will remain free from security threats or vulnerabilities
• Third-party services will always perform as expected

Services are provided on an “as available” and “as applicable” basis unless otherwise stated in writing.

12. Confidentiality

ITZ will take reasonable steps to keep client information confidential and will not intentionally disclose sensitive business information unless:

• Required by law
• Necessary for providing the agreed service
• Authorized by the client

13. Termination of Services

ITZ may suspend or terminate services if:

• Payments are overdue
• The client breaches these Terms and Conditions
• The client engages in abusive, illegal, or harmful conduct
• Continuing the service becomes technically or legally impossible

Clients may also terminate services according to the agreed contract terms. Any work completed up to the termination date may still be chargeable.

14. Refund Policy

Due to the nature of digital, technical, and professional services:

• Payments for completed work, consultation, setup, licenses, digital services, and labor are generally non-refundable.
• Deposits and advance payments are non-refundable unless otherwise agreed in writing.
• Refunds, if any, are entirely at ITZ’s discretion or as defined in a signed agreement.

15. Changes to Terms and Conditions

We may update these Terms and Conditions from time to time. Any changes will be posted on this page with a revised update date.

Continued use of our website or services after such updates means you accept the revised Terms and Conditions.
